Programme Synopsis

The Singapore Government’s Committee on the Future Economy (CFE) has identified Business Valuation as one of the high growth practice areas that will drive demand for Singapore’s legal and accounting services. Similarly, tax transfer pricing, consistently rated as one of the highest tax risk by CFOs and finance directors, encompasses the issue of the arm’s length value of related party transactions. The global digital economy with its widespread exploitation of intellectual property is also putting transfer pricing valuation increasingly into the spot light.

These two notions of value intersect across many areas, inter alia,

  1. mergers and acquisitions (M&A) both stock and asset deals; 
  2. business model transformation and restructuring; 
  3. intellectual property valuation; 
  4. customs valuation and arm’s length valuation and 
  5. putting it in context with fair value measurement in the financial reporting 
 
This course aims at providing an introduction to where these two fields intersect starting from a tax transfer pricing perspective, including an introduction to the cutting edge international developments from the Organization of Economic Cooperation and Development (OECD) such as the Hard to Value Intangibles.

  • In Transfer Pricing: Discounted cash flow, idea of Options Realistically Available, commodities quoted price 
  • In Customs valuation, Transaction Value of Merchandise in Question, of Identical Merchandise, of Similar Merchandise, of Deductive Value, of Computed Value, of Derivative Method 
  • In Capital markets, discounted cash flow 
  • In Accounting, fair market value, mark to market, available-for-sale

Pik Sian has more than a decade of solid experience in the private equity industry. During her career with international and leading regional asset management firms, Pik Sian led the origination and due diligence of investment opportunities, valuation analysis of asset and business targets, creation of fund products and portfolio management covering evaluation of exit strategies, refinancing and portfolio performance.

Pik Sian also accumulated significant experiences in the provision of corporate finance advisory and assurance services in Singapore, Hong Kong and China. She was involved in the valuation of a wide variety of business enterprises, and advising on corporate and deal structures to facilitate public listing, mergers and acquisitions, as well as strategic joint ventures.

Pik Sian is the founder of consultancy firms focusing on private equity real estate investments and fund management across matured markets globally. She is a Chartered Accountant of Singapore, a CAIA Charter Holder and a Chartered Global Management Accountant with a CIMA Diploma in Islamic Finance. Pik Sian is a Chartered Valuer and Appraisal designate (2020).

Sam was Regional Vice-President (Europe, Middle-East, Africa, Asia and Latin America), Tax Executive Institute and Chair of its Capital Markets Tax Committee Transfer Pricing sub-committee. He led global teams as Deputy Global Head of Transfer Pricing at a leading European MNE and Transfer Pricing Geo Leader for EMEA and Asia-Pacific in the largest US global Technology MNE. In addition, Sam also authored Singapore's first Transfer Pricing Master Guide.
